User Agreement

This User agreement (Agreement) is a legal agreement between the User (Licensee, the Party) and TRUE LOWCODE TECHNOLOGY LTD, a company organized under the laws of the Republic of Cyprus under the number ΗΕ 430590, with address: Amathountos 42, Millios Building Mezzanine, Agios Tychonas, 4532, Limassol, Cyprus (Licensor, the Party), collectively referred to as the Parties
1. Terms And Definitions
True Lowcode Technology, TLT — TRUE LOWCODE TECHNOLOGY LTD.
Platform — “Junica” computer program, the copyright holder is TRUE LOWCODE TECHNOLOGY LTD.
Site — the True Lowcode Technology website located on the Internet at https://junica.io/.
Personal Account, PA — a closed section of the Site, available after registration, providing access to the cloud version of the Platform, educational and methodological materials of the Platform, the Platform’s technical support chat and other True Lowcode Technology resources.
User — a capable individual; entrepreneur; legal entity registered on the Site.
User Registration in the PA — a procedure for creating a unique User Account, which allows further authorization when entering the Personal Account.
E-mail verification — checking that the User owns the e-mail specified during registration in the Personal Account.
SaaS version, cloud version — a Platform deployed by the Licensor in Google, the access to which is provided to the Licensee without downloading and installing the distribution kit on the Licensee’s computer.
On-premises version — a Platform transferred to or downloaded by the Licensee for installation on the Licensee’s computer.
Application — a separate instance of the Platform where a User can create arbitrary derivative software products through customization. The application can be deployed both on the basis of the On-premises version and using the cloud version of the Platform.
License — a non-exclusive right to use the Platform.
Project — a section of the User Personal Account that combines Applications based on the cloud version of the Platform into a group. At a particular moment, a Project may contain several Applications, one Application, or no Applications at all.
Project Team — a User or several Users of individual PAs with simultaneous access to the Project and, as a result, to all its constituent Applications with the rights depending on the role. There are three roles for project teams: Owner, Administrator, or Participant.
Project Owner — a User with full rights to any actions with the Project and its Applications: editing and deleting the Project, managing and deleting Applications, managing the Project Team. Also, it is the Project Owner’s Personal Account that allows checking valid licenses for the Applications included in the Project.
Project Administrator — a User with the rights to manage the Project Applications and a limited management of the Project Team.
Project Participant — a User with the rights to view the composition of the Project Team and passing to the Project Applications as the Platform administrator.
2. General Provisions
2.1 True Lowcode Technology offers the Internet user to use its Site and Platform on the terms set forth in this User Agreement (Agreement). The Agreement comes into force from the moment the User is registered on the Site.
2.2 True Lowcode Technology reserves the right to change, add or remove clauses of this Agreement at any time at its sole discretion. The new version of the Agreement comes into force from the moment it is posted on the Site, unless otherwise provided by the new version of the Agreement.
2.3 The following features are implemented on the Site in the PA section (the list can be expanded by True Lowcode Technology at any time without additional notice):
— managing Projects, Applications and Project teams;
— trial (test) and paid use of the Platform as part of the Applications;
— entering payment details and paying licenses for the Platform;
— access to True Lowcode Technology educational and methodological materials;
— access to the forum, technical support chat and contact form with the sales department.
— managing the User profile and PA settings.
2.4 Using the Site, the PA and the Platform is governed by this Agreement and the Privacy Policy. The paid use of the PA and the Platform is additionally regulated by the General Terms for Concluding License Agreements on granting the rights to use the Platform, the terms of Offer Invoices, the License Agreement with the User, and other agreements between True Lowcode Technology and the User, if any.
2.5 After passing the registration procedure in the Personal Account, the User is considered to have fully accepted the terms of the Agreement, without any reservations nor exceptions. If the User does not agree with any of its provisions, he is not entitled to use the Personal Account and the Platform. If TLT makes any changes to the Agreement in the way specified in paragraph 2.2 of the Agreement, that the User does not accept, he is obliged to stop using the PA and the Platform.
2.6 The User can work with the Personal Account and the Platform only if having technical means to access the Internet. The User independently ensures the availability of technical means and communications.
3. Personal Account And Access To It
3.1 The User Personal Account is created automatically immediately after registration of his account.
3.2 In order to become the User and gain access to use the cloud version of the Platform, it is necessary to pass the registration procedure, as a result of which the User will get a unique personal account. The User who has reached the age of 16 has the right to independently register an account and use the Platform within the legal capacity established by the legislation of the Republic of Cyprus. If the User has not reached the specified age, as well as in cases where it is required by law, the use of the Site, the Personal Account, the Platform and PA services is only allowed with the consent of parents or other legal representatives.
3.3 The User undertakes, during the registration process, to provide accurate and complete information about himself on the questions proposed in the registration form, and to keep this information up to date. In case the User provides incorrect information or TLT has reason to believe the information provided by the User is incomplete or unreliable, TLT is not responsible for the inaccuracy of data and has the right, at its own discretion, to block or delete the User account and refuse the User to work with the Site, the PA and the Platform (or their particular functions).
3.4 In the process or within a limited period after the User account creation, verification of his e-mail is carried out. If it is not passed, the use of the Site, the PA, the Platform and PA services may be denied.
3.5 The User's personal information defined by the Privacy Policy and contained in the User account is stored and processed by TLT in accordance with the Privacy Policy terms.
3.6 The User is solely responsible for the security (including resistance to guessing) of credentials, and also independently ensures their confidentiality.
3.7 The User is solely responsible for all actions (as well as their consequences) within or with the use of the Site, the PA and the Platform under the User account, including cases of voluntary transfer of data for accessing the User account to third parties under any conditions (including contracts or agreements). At the same time, all actions within or with the use of the Site, the PA and the Platform under the User account are considered to be performed by the User himself, except when the User, in the way specified in clause 3.8 of the Agreement, notified TLT of unauthorized access by third parties under the User account.
3.8 The User is obliged to immediately notify TLT of any case of unauthorized (not authorized by User) access to the Site and / or the Platform with the User account and / or any violation (suspicion of violation) of the confidentiality of their means of access to the account.
3.9 The User has the right to delete his personal account at any time. If the User is the Owner of one or more Projects, he must transfer the rights of Owner to other User(s) or confirm that the Projects are to be deleted along with the PA. In the latter case, access to the User's Projects and Applications becomes impossible.
3.10 TLT is not liable to the User and / or third parties for the consequences of deleting the User personal account.
4. Projects And Applications
4.1 When the User creates a Project in the Personal Account, he automatically becomes the Owner of this Project and gets all rights and obligations in relation to it and all its constituent Applications.
4.2 The User can add a legal entity (Company) to the personal account by filling out an appropriate form. By registering the Company, the User confirms he has the necessary and sufficient authorities for this and acts in the interests of the Company. In this case, the Company becomes the Project Owner, and the User is recognized as the authorized representative of the Company, entitled to act on behalf of the Company within the framework of the PA functionality.
4.3 The Owner can manage the Project team, invite other registered Users to work on the Project and the Applications included in it.
4.4 The Project Owner is responsible for the actions of the Project team members.
4.5 The Owner, using the PA functionality, can transfer his Project to other User, making him the new Project Owner. In this case, the previous Project Owner loses access to the Project and its Applications and all rights to them.
5. Licensing
5.1 Working with Applications requires an attached valid license for each of them. Licenses can be free (Trial) and paid (Standard, Enterprise, Custom).
5.2 The license price is fixed by the period of validity and the number of concurrent users of the Platform (i.e. the maximum number of simultaneously working users of the Platform within a particular Application). Licenses can be purchased in the relevant section of the Personal Account.
5.3 When calculating the number of Platform users simultaneously working in the Application, all members of the Project team simultaneously working in the Application, as well as all users simultaneously working but not registered in the Personal Account (i.e. Platform users whose accounts were created directly within the Application without creating a PA User) are considered.
5.4 Licenses are acquired and attached to the Applications by the Owner of the Project in which they are included (except for the trial period, when licenses are provided for free, see section 6).
5.5 The Project Owner can attach, detach and redistribute licenses between Applications during their validity period, as well as change the parameters of licenses upwards (including renewal) on a reimbursable basis. A license detached from one Application may be attached to any other User Application.
5.6 The User has the right to use the Platform (without creating his own Projects and without purchasing a license) within the Projects of other Owners upon invitation to the project team as an Administrator or Participant. In this case, the possibility of using the Platform by User is determined by the license of the Owner who invited him.
5.7 If the Application has no license attached or the license has expired, the application will not be available until a valid license is attached.
6. Free Trial License
6.1 Each new PA User is given the opportunity to use free Trial License for a period of one month.
6.1.1 One free Trial license is provided at the time of creation of the first Application in the Personal Account.
6.2 Trial License start and end dates are specified in “My Licenses” section of the Personal Account. The trial license is automatically attached to the first Applications created in the Personal Account.
6.3 When purchasing a paid license for an Application, the Trial license previously attached to this Application is revoked and expires without possibility of reuse.
6.4 Limits of the Trial license rights transferred to the User (if it is a Company, through its authorized representative in accordance with clause 4.2 of this Agreement):
6.4.1 A simple non-exclusive license with the right to create 1 (one) Application.
6.4.2 The territory of action is all countries of the world.
6.4.3 The number of concurrent users is no more than 5 (five). Unlimited number of user records can be stored in the database.
6.4.4 Available disk space - no more than 0.5 GB.
6.4.5 Reproduction of the Platform as part of the Applications.
6.4.6 Setting (modification) of the Platform as part of the Applications.
6.4.7 Invitation of other Users to the Project team.
6.4.8 Transferring the Project to other Owners without transferring the Trial license itself.
6.4.9 Providing access to the created Application to its customers (including within the framework of commercial use).
6.4.10 The right to contact Technical Support is not granted.
6.4.11 If the Application with attached the Trial License is not used for one month, it will be switched to the "Suspended" status. In this case, the user receives an appropriate notification to the email specified during registration. Then, if the user does not switch the application to the "Active" status within a month, it will be deleted along with the user's data without possibility of recovery.
7. Licensor's Liability Limitations
7.1 The Platform and related materials are provided on an "AS IS" basis and are not 100% error free. The User can work with them at his own risk.
7.2 TLT makes no warranties regarding the use or performance of the Platform.
7.3 TLT does not guarantee that the Platform and related materials: A) are correct, reliable and safe and meet any user requirements; B) will work uninterruptedly and securely in any particular location; C) are free from defects and errors, and that all of them (if found) will be fixed.
7.4 Any content or data uploaded or otherwise obtained through the Platform is uploaded at the User’s own risk. The User agrees that he is solely responsible for any damage to his property or loss of data that results from such downloads.
7.5 TLT is not liable to the User and / or potential end users of the Applications, nor anyone else for: A) any loss of the ability to use the Platform, loss of data, or profits; B) any damage due to the termination of access to the Platform if the User violates the clause 10.3 of this Agreement.
7.6 TLT has the right to set any limits and restrictions on the use of the Platform, and may change them at its own discretion, without prior notice to the User.
7.7 The User acknowledges that the Platform has not been developed to meet the User’s individual requirements, and that it is therefore the User’s responsibility to ensure that the facilities and functions of the Platform meet the User’s requirements.
8. Purchasing Licenses
8.1 Purchasing of licenses is carried out in the relevant section of the personal account after the User fills in his payment details.
8.2 The license agreement for the purpose of purchasing rights to the Platform is concluded through the PA by accepting an Offer or an Offer Invoice on the “General Terms for Concluding License Agreements for Granting the Rights to Use the Platform” posted on the Site at https://junica.io, which is made when paying the corresponding license.
9. Limitations Of Use
9.1 When using the Platform, the User and other persons authorized by him to use the Platform and / or the results obtained when using the Platform are not entitled to:
— Make any attempts to open or bypass the initialization system, as well as the encryption system used in the Platform.
— Alter, move or obscure any ownership, trademark, copyright notice contained in or on the Platform or related materials.
— Use the Platform and related materials for purposes other than those provided in this Agreement.
10. Responsibility
10.1 The User is solely responsible to third parties for their actions related to the use of the Platform, including when such actions lead to a violation of the rights and legitimate interests of third parties, as well as for compliance with the law when using the Platform.
10.2 The User is responsible for the actions of other persons allowed by him to use the Platform and / or the results obtained when using the Platform.
10.3 In case of violating the Platform use conditions, provided in Section 8 of this Agreement, the User account is blocked with blacklisting, without possibility of subsequent recovery of the account. The User’s projects (where he is the Owner) are deleted along with the Applications, the licenses are canceled, the funds paid for the licenses are non-refundable.
11. Applicable Law
11.1 This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of Cyprus.
11.2 In case of a dispute arising in connection with the interpretation or implementation of this Agreement, or any breach, termination or invalidity of this agreement by, between and amongst any or all of the parties, TLT and the User attempt to first resolve such dispute in an amicable manner and through discussions. In the event that the dispute that arose may or cannot be resolved in an amicable manner within thirty (30) days after the date of attempt to resolve the dispute, then any or all Parties to the dispute may refer the dispute to the courts of Cyprus. If the User live outside the Republic of Cyprus, the User must bring proceedings in the Cyprus courts.
12. Entire Agreement
12.1 This agreement constitutes the entire agreement between the parties and is binding. It supersedes and replaces all previous understandings and agreements between the User and TLT. The User acknowledges and represents that the User has not relied on any representation, assertion, guarantee, warranty, collateral contract, or other assurance, kept those set out herein.
13. Other Important Terms
13.1 TLT may transfer TLT's rights and obligations under this Agreement to another person or organization. TLT will tell the User if this happens and TLT will ensure that the transfer will not affect the User's rights under this Agreement.
13.2 This Agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement.
13.3 Each of the provisions of this Agreement operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining provisions will remain in full force and effect.
13.4 TLT does not insist immediately that the User does anything the User is required to do under this Agreement, or if TLT delay in taking steps against the User in respect of the User’s breach of this Agreement, that will not mean that the User does not have to do those things and it will not prevent TLT taking steps against the User at a later date.
13.5 TLT acknowledge that, in entering into this Agreement, neither of TLT and the User has relied on any representation, undertaking or promise given by the other prior to entering into this Agreement except as expressly stated in this Agreement. Neither of TLT and the User shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date TLT and the User entered into this Agreement (unless such untrue statement was made fraudulently) and the other party's only remedy shall be for breach of contract as provided in this Agreement. The foregoing does not affect the User's rights as a consumer.
13.6 This Agreement shall start on the date when the User first register to use the Platform and will continue until and unless cancelled or terminated as provided in this Agreement.
13.7 The current version of this agreement is available at the Site. TLT reserves the right to amend, supplement, or replace this agreement and shall give notice of such changes by making the new versions available on the Site. The User agrees that all modifications shall be effective and binding starting from the date indicated in the new version.
